A client of ours is a leading solar developer in the Philippines, specializing in providing sustainable energy solutions. They focus on solar power projects and renewable energy services for C&I clients and are actively looking for someone with your experience to join them as a Corporate Counsel - Senior Associate (Managerial Rank).
This is a regular / permanent role and hybrid working setup.
Responsibilities:
Renewable Energy Project Development
- Provide legal expertise on renewable energy project development (solar) in the Philippines.
- Draft, review, negotiate relevant contracts (PPAs, O&M, EPC, lease agreements, JDAs).
- Advise on compliance with local energy laws and regulations.
Debt & Project Finance
- Provide legal support for debt financing and project finance transactions.
- Advise on compliance with conditions subsequent, financial covenants, documentation requirements.
Corporate Transactions & M&A
- Lead corporate transactions (mergers, acquisitions, divestitures, joint ventures) in the Philippines.
- Draft, review, negotiate legal documents (share purchase agreements, subscription agreements, disclosure schedules, etc.).
- Conduct due diligence, identify legal and regulatory issues.
- Serve as legal point of contact for external parties.
- Advise on transaction structuring, risk management, post-transaction integration.
- Ensure compliance with conditions subsequent, financial covenants, documentation requirements.
Regulatory Compliance & Risk Management
- Develop and implement policies for legal and regulatory compliance.
- Collaborate with teams to identify and mitigate legal risks.
- Represent the company in negotiations with regulatory bodies.
- Stay updated on legislative changes and industry trends.
Corporate Governance
- Advise on corporate governance matters.
- Assist in preparing board and shareholder materials.
General Legal Support
- Provide legal training and guidance to internal teams.
- Manage existing legal documentation and contracts.
- Manage relationships with external legal advisors.
Qualifications:
- 5+ years relevant legal experience in corporate, energy, transactions, documentation, debt financing, tax, M&A in the Philippines.
- (Certified Public Accountant) CPA is a plus
- JD degree from accredited law school and Philippine Bar admission.
- Preferred: Industry experience with Philippine renewable energy regulations, environmental compliance, energy market structures.
- Excellent analytical, problem-solving, decision-making skills.
- Effective communication skills, ability to convey complex legal concepts.
- High level of integrity, professionalism, attention to detail.
- Ability to work independently and collaboratively.
